class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ol>\n<li><strong>Introduction<\/strong><\/li>\n<\/ol>\n<p>In connection with the work on the Transparency Act, Eiendomsfinans Drift AS (hereinafter \u201cthe Company\u201d) has developed guidelines for its own internal affairs, suppliers, business partners, and collaborators.<br\/>The Company\u2019s suppliers, business partners, and collaborators (hereinafter \u201cSuppliers\u201d) are essential to our ability to conduct our business. We want our business relationships to be based on trust and transparency, and we expect our suppliers to share the Company\u2019s commitment to ethics and compliance.<br\/>The Company works to promote good working and environmental conditions in its supply chains, in close collaboration with our suppliers, business partners, and collaborators. The Company\u2019s Ethical Guidelines for Suppliers (hereinafter \u201cEthical Guidelines\u201d) set forth our expectations and establish our requirements for all Suppliers.<br\/>Our Code of Ethics is based on applicable laws and regulations, key UN conventions, and ILO conventions.   The Company expects our Suppliers to comply with applicable laws, respect internationally recognized human rights, and adhere to ethical standards consistent with the substantive content of our Code of Ethics when working for and\/or with the Company. Suppliers must also ensure that these requirements are passed on to subcontractors who contribute to work performed for the Company. <\/p>\n<ol start=\"2\">\n<li><strong>Laws and Regulations<\/strong><\/li>\n<\/ol>\n<p>The company respects all internationally and nationally recognized human rights, including the United Nations Universal Declaration of Human Rights (1948) and its related conventions, as well as Norway\u2019s Act on Strengthening the Status of Human Rights in Norwegian Law (the Human Rights Act) of May 21,<sup>1999.\u00b9<\/sup><br\/>The company is committed to conducting due diligence assessments in accordance with the OECD Guidelines for Multinational Enterprises, which entail identifying, preventing, mitigate, and account for how the company addresses existing and potential adverse impacts of its operations.<br\/>Our Suppliers play a vital role in helping us fulfill these commitments and achieve these goals. Our Suppliers are expected to have guidelines that comply with the Company\u2019s Code of Ethics, internationally recognized conventions, and relevant national legislation in the countries where the Supplier operates. The Supplier\u2019s operations must be lawful.<br\/>Suppliers should pay particular attention to those most vulnerable to negative impacts on human rights and the requirements for decent work.<br\/>This document describes the standards that the Company\u2019s Suppliers are encouraged to follow.   <\/p>\n<ol start=\"3\">\n<li><strong>Human Rights and Labor Rights<\/strong><\/li>\n<\/ol>\n<p><strong>3.1 Freedom of Association and the Right to Collective<sup>Bargaining2<\/sup><\/strong><\/p>\n<p>The Company\u2019s suppliers shall ensure and recognize the right to freedom of association and collective bargaining. Suppliers shall respect the right of workers to form or join labor unions or employee organizations. <\/p>\n<p>Employees shall have the right to engage in collective bargaining without fear of threats or reprisals. Suppliers shall not discriminate against employee representatives or union members, who shall be allowed to carry out their duties as representatives in the workplace.<br\/>In cases where freedom of association and collective wage bargaining are restricted by national law, Suppliers shall ensure that employees are free to choose their own representatives. <\/p>\n<p><em><sup>1<\/sup><\/em><em>A total of nine conventions elaborate on the UN Universal Declaration of Human Rights. Of these, the UN Convention on Economic, Social, and Cultural Rights (CESCR) and the UN Convention on Civil and Political Rights (ICCPR), both adopted in 1966, are the most important. In addition, the ILO\u2019s core conventions on fundamental rights and principles in the world of work are mentioned.  <\/em><\/p>\n<p><em><sup>2<\/sup><\/em><em>See ILO Convention No. 87 concerning Freedom of Association and Protection of the Right to Organize (1950), Convention No. 98 concerning the Right to Organize and Collective Bargaining (1951), Convention No. 135 concerning the Protection of Workers\u2019 Representatives in the Workplace and the Facilities for the Performance of Their Duties (1973), and Convention No. 154 concerning the Promotion of Collective Bargaining (1983).<\/em><\/p>\n<p><strong>3.2<sup>Forced Labor3<\/sup><\/strong><\/p>\n<p>Suppliers shall not use any form of coercion in connection with hiring or employment relationships. Suppliers shall ensure that the employment relationship between the employee and the Supplier is based on voluntary participation and free from threats of any kind. <br\/>In addition, Suppliers must ensure that all employees are free to leave the workplace or terminate their employment after notifying the Supplier in a reasonable manner.<br\/>Employees shall not be required to deposit money, identity documents, or similar items for the purpose of being hired or maintaining employment. <\/p>\n<p><strong>3.3 Terms of Employment and Working<sup>Hours4<\/sup><\/strong><\/p>\n<p>Suppliers must comply with the labor and working environment regulations in the country of production, including paying their employees in accordance with any national legal standards for minimum wage. Wages must be set forth in a written agreement and paid to employees at the agreed-upon time.<br\/>Suppliers must ensure that all employees have written employment contracts that describe the terms of employment in a language the employee understands.<br\/>Suppliers shall provide all workers with compensation, insurance, and social benefits that meet statutory minimum standards, nationwide collective bargaining agreements, and internationally recognized human rights standards regarding equal pay for male and female workers performing work of equal value. At a minimum, such compensation includes wages and paid leave that enable an adequate standard of living.<br\/>We expect our Suppliers to refrain from imposing excessive working hours and overtime that unreasonably interfere with the right to private and family life.   Working hours must not endanger the health and safety of individual workers. National working hour regulations must be complied with. Workers must be able to refuse excessive overtime without fear of discrimination or reprisals.<br\/>Suppliers must comply with national requirements regarding regular employment conditions, including employment contracts.  <\/p>\n<p><strong>3.4 Gender Equality, Diversity, and<sup>Inclusion5<\/sup><\/strong><\/p>\n<p>We expect our Suppliers to have plans and strategies for promoting diversity, equality, and inclusion.<br\/>Suppliers must promote equality in employment relationships and must have a zero-tolerance policy toward direct and indirect discrimination based on, but not limited to, gender, race, skin color, religion, ethnic, national, or social origin, marital status, sexual orientation, political or other beliefs, union membership, nationality, disability, or age. Suppliers shall prevent termination for unjustified reasons.<br\/>Suppliers shall treat all employees fairly and strive for gender balance, diversity, and inclusion throughout the organization and at all management levels. Suppliers shall take active measures if any deviations from this are observed.<br\/>No employee or worker shall be subjected to physical, sexual, or psychological harassment, humiliation, or abuse.  <\/p>\n<p><em><sup>3<\/sup><\/em><em>See ILO Convention No. 29 on Forced Labor (1932) and Convention No. 105 on the Abolition of Forced Labor (1959). <br><sup>4See<\/sup>ILO Convention No. 1 on the 8-hour day (1921) and Convention No. 14 on weekly rest in industrial enterprises (1923). <br><sup>5See<\/sup>ILO Convention No. 100 concerning Equal Remuneration for Men and Women Workers for Work of Equal Value (1953) and Convention No. 111 concerning Discrimination in Employment and Occupation (1960). <\/em><\/p>\n<p><strong>3.5<sup>Child Labor6<\/sup><\/strong><\/p>\n<p>Suppliers shall not engage in child labor or any form of work that deprives children of their childhood, potential, or dignity, that may be hazardous or interfere with the child\u2019s education, or be harmful to the child\u2019s health or physical, mental, spiritual, moral, or social development. The term \u201cchild\u201d refers to a person under the age of 15, under the minimum age for completion of compulsory schooling, or under the legal working age in the country in question. The highest of the aforementioned age limits shall apply. If national regulations set a higher age limit, that limit shall apply.<br\/>If Suppliers employ workers under the age of 18, the Supplier must be able to document that the worker does not perform work that is harmful to health or dangerous, including overtime and night shifts.   <\/p>\n<p><em><sup>6<\/sup><\/em><em>See the UN Convention on the Rights of the Child and ILO Convention No. 79 concerning Night Work of Young Persons (Non-Industrial Occupations) (1950), No. 138 concerning the Minimum Age for Admission to Employment (1976), Convention No. 182 concerning the Prohibition and Immediate Action for the Elimination of the Worst Forms of Child Labor (2000), and ILO Recommendation No. 146 concerning the Minimum Age (1973). <\/em><\/p>\n<ol start=\"4\">\n<li><strong>Health, Environment, and Safety<\/strong><\/li>\n<\/ol>\n<p>Health, safety, and the environment are of the utmost importance to the Company. Suppliers must ensure and maintain a safe working environment in accordance with applicable laws and regulations and encourage best practices in health and safety.<br\/>Suppliers are expected to implement appropriate measures to prevent accidents and occupational illnesses, including taking out all legally required insurance. Work-related accidents must be reported to the relevant authorities, investigated, and preventive measures must be implemented.<br\/>Suppliers are expected to have a written policy, employee handbook, statement, or similar document covering health and safety that is communicated and made available to all employees and relevant stakeholders.  <\/p>\n<ol start=\"5\">\n<li><strong>Climate and Environment<\/strong><\/li>\n<\/ol>\n<p>We expect our business partners to work actively and systematically to minimize negative impacts on the climate and the environment, including reducing greenhouse gas emissions. We expect our business partners to implement measures to reduce the negative impact on valuable species and biodiversity in our projects.<br\/>Business partners must comply with all legally mandated environmental standards, including national regulations on climate and the environment, requirements for the protection of biodiversity, area conservation, and pollution control. Relevant emission permits must be obtained where necessary.  <\/p>\n<ol start=\"6\">\n<li><strong>Ethical Business Practices<\/strong><\/li>\n<\/ol>\n<p><strong>6.1 Business Integrity<\/strong><\/p>\n<p>The Company\u2019s suppliers are expected to act ethically, responsibly, fairly, and professionally at all times. Suppliers must comply with the laws governing their operations and must avoid causing harm to people, the environment, and the Company\u2019s reputation. It is also expected that the supplier will strive to ensure this when using any subcontractors in its deliveries to the Company.  <\/p>\n<p><strong>6.2 Anti-Corruption<\/strong><\/p>\n<p>The company has a zero-tolerance policy toward corruption and influence peddling, and bribery must not occur between us and our business partners. The company\u2019s suppliers must actively reject all forms of corruption and must comply with laws and regulations related to bribery, corruption, anti-money laundering, fraud, and other illegal business activities.<br\/>Suppliers shall not offer, solicit, promise, receive, or provide any form of improper benefit, service, or incentive to anyone for the purpose of obtaining personal or business advantages. This applies regardless of whether such a benefit is offered directly or indirectly through others.    <br>Suppliers are expected to develop and implement anti-corruption policies, internal control measures, and training programs that are proportionate to their operations.<\/p>\n<p><strong>6.3 Anti-Money Laundering and Taxes, etc.<\/strong><\/p>\n<p>The Company\u2019s Suppliers must reject all forms of money laundering and implement reasonable measures to prevent and address the use of their business for money laundering and terrorist financing. Suppliers must comply with applicable tax regulations and must not contribute to tax or duty evasion, or otherwise unlawfully appropriate public funds.<br\/>All accounting information must be accurate, recorded, and reported in accordance with national regulations. Suppliers must fulfill their obligations to pay taxes and duties in the country where they are established and\/or in Norway.  <\/p>\n<p><strong>6.4 Competition<\/strong><\/p>\n<p>The Company\u2019s Suppliers must comply with competition law and must not cause or be a part of any violation of competition law, such as through illegal price-fixing, illegal market coordination, or any other form of conduct that constitutes a violation of competition law.<\/p>\n<p><strong>6.5 Conflicts of Interest<\/strong><\/p>\n<p>Suppliers must avoid conflicts of interest while working on assignments for the Company. Suppliers\u2019 business decisions must not be motivated or influenced by personal circumstances or interests.<br\/>The Company\u2019s Suppliers must, without undue delay, inform the Company of any circumstances that could compromise the Supplier\u2019s independence, or that could create\u2014or appear to create\u2014a conflict of interest in the performance of the assignment. <\/p>\n<p><strong>6.6 Privacy and Information Security<\/strong><\/p>\n<p>Suppliers must comply with the privacy and information security laws in effect at all times when collecting, storing, transferring, sharing, or otherwise processing personal data.<br\/>Suppliers must have appropriate procedures and systems in place to ensure that there is no unauthorized access, use, or sharing of data, information, or materials. Suppliers must implement the necessary technical and organizational measures to protect personal data and confidential information. <\/p>\n<p><strong>6.7 Reporting of Improper Conduct<\/strong><\/p>\n<p>The company\u2019s suppliers are expected to have a whistleblowing process that is known to employees and through which employees can report their concerns without fear of retaliation. Suppliers must ensure the protection of whistleblowers and the appropriate investigation, handling, and resolution of reported matters.<br\/>If the Company\u2019s Suppliers discover violations of these guidelines, either within their own organization or among subcontractors, they must notify the Company without undue delay. <\/p>\n<p>6.8 Substance Abuse<\/p>\n<p>The company has a zero-tolerance policy regarding the use of any intoxicating substances in the workplace. Being under the influence of intoxicating substances (alcohol or illegal drugs) in the workplace will not be tolerated. <\/p>\n<ol start=\"7\">\n<li><strong>Inspections and Reports<\/strong><\/li>\n<\/ol>\n<p>As part of the Company\u2019s monitoring of Suppliers, the Company reserves the right to verify Suppliers\u2019 and subcontractors\u2019 compliance with these guidelines throughout the term of the contract through audits or inspections at the Supplier\u2019s or subcontractor\u2019s premises, either directly or through a third party. Each party shall bear its own costs associated with such checks. <\/p>\n<p>Suppliers are expected to cooperate in conducting follow-up meetings, audits, and inspections, including providing the necessary documentation within a reasonable time. The company may request this documentation in the form of: <\/p>\n<p>Self-Declaration from Suppliers<\/p>\n<p>In-house or independent third-party audit<br\/>Suppliers may choose to document their compliance with the requirements through appropriate certification of their operations.<\/p>\n<ol start=\"8\">\n<li><strong>Violations of Ethical Guidelines<\/strong><\/li>\n<\/ol>\n<p>In the event of non-compliance with or a breach of the substantive requirements of the Supplier Code of Conduct, the Company will, as a matter of priority, request that the Supplier rectify the situation and document such rectification within a specified time limit.
